2. Eligibility and accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use account-based Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Our Services

Triorcas provides software development services and operates SaaS products, including Tradator and MetaQoneq. Features, availability, and pricing may change over time. We may update, suspend, or discontinue parts of the Services with reasonable notice when practicable.

4. Acceptable use

You agree not to:

• Violate any applicable law or regulation
• Attempt to gain unauthorized access to the Services, accounts, or related systems
• Interfere with or disrupt the integrity, performance, or security of the Services
• Upload malware, scrape the Services without permission, or reverse engineer the software except where permitted by law
• Use the Services to infringe intellectual property, privacy, or other rights of others
• Use the Services for fraudulent, abusive, or harmful activity

5. Customer content

You retain ownership of content and data you submit to the Services ("Customer Content"). You grant us a limited license to host, process, and display Customer Content solely as needed to provide and improve the Services.

You are responsible for ensuring you have the rights needed to submit Customer Content and that it does not violate law or third-party rights.

6. Intellectual property

The Services, including software, branding, designs, and documentation, are owned by Triorcas Technologies, Inc. or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

7. Subscriptions, billing, and refunds

Some Services may be offered on a free or paid subscription basis. Fees, billing cycles, and plan details will be presented at purchase or in your account. Unless otherwise stated at checkout or required by law:

• Subscriptions renew automatically until canceled
• You are responsible for applicable taxes and for keeping billing information current
• Fees are generally non-refundable except where required by law or where we expressly offer a refund

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRIORCAS TECHNOLOGIES, INC. AND ITS DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Triorcas Technologies, Inc. from claims, damages, liabilities, and expenses arising out of your use of the Services, your Customer Content, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms, create risk or legal exposure, or if we discontinue the Services. Upon termination, your right to use the Services ends, and provisions that by nature should survive will survive.

13. Privacy

Our collection and use of personal information is described in our Privacy Policy.

14. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

15. Governing law

These Terms are governed by the laws of the Philippines, without regard to conflict-of-law principles, unless mandatory local law requires otherwise. Courts located in the Philippines will have exclusive jurisdiction over disputes arising from these Terms, except where applicable law gives you the right to bring claims in your local courts.
